Terms of Use.

Last updated October 9, 2026. The rules for using mymasii.com, the waitlist and the referral program.

Agreeing to these terms

These Terms of Use ("Terms") are an agreement between you and MASii Holdings, PBC ("MASii", "we", "us"). They apply to mymasii.com, the MASii waitlist, the referral program and related pages (the "Services"). By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

When the MASii app launches, its membership, donations and rewards will be covered by separate app terms that we will show you before you sign up.

Who can use MASii

You must be at least 18 years old and a legal resident of the United States to join the waitlist or take part in any Drop. Additional eligibility rules may apply to particular Drops and are set out in their Official Rules.

The waitlist

  • Joining the waitlist is free.
  • Joining the waitlist is not an entry into any Drop or prize draw.
  • Early Access and First Access mean we will invite you to MASii before the general public. We do not promise a particular launch date, and access may be released in stages.
  • One waitlist place per person. Each person must use their own email address.

The referral program

You can share your personal referral link with friends. When you have added your mobile number and three friends have joined the waitlist using your link, you unlock one entry into the $10,000 Launch Day Drop, which is governed by its Official Rules (including a free method of entry). Limit one Launch Day Drop entry per person.

  • Referrals must be genuine people who choose to join. Do not create fake accounts, use other people's email addresses without permission, use bots, or post your link in places that prohibit it.
  • Do not send spam. You are responsible for following the law when you share your link, including anti-spam and text-messaging laws.
  • We may withhold, reverse or disqualify referrals, entries or prizes that we reasonably believe are fraudulent or break these Terms.
  • We may change or end the referral program at any time. If we end it, we will honour Launch Day Drop entries already unlocked, subject to the Official Rules.

Drops and prizes

Drops are daily, weekly and monthly prize draws. Each Drop is governed by its own Official Rules, which explain eligibility, how to enter, the free method of entry, how winners are chosen, the prizes and their approximate retail value, and odds information required by law. If these Terms and a Drop's Official Rules conflict, the Official Rules apply to that Drop.

  • No purchase or donation is necessary to enter or win. A free method of entry is available for every Drop, and entries received through it have the same chance of winning as any other entry.
  • Prize descriptions and images on our site are examples to show the type and scale of prizes. Actual prizes are those listed in the Official Rules for each Drop.
  • Drops are void where prohibited and are run in line with applicable law, including registration and bonding requirements in states such as New York and Florida where they apply.
  • Winners are responsible for any taxes on prizes.

Giving and our public benefit

MASii Holdings, PBC is a public benefit corporation. It is not itself a charity, and amounts you give through MASii may not be tax deductible unless we clearly tell you otherwise at the time. Details of how giving works, including which charities receive funds, will be set out in the app terms when MASii launches.

Emails and texts

By joining the waitlist you agree to receive emails from MASii about the waitlist and our launch. If you add your mobile number, you agree to receive text messages from MASii, which may be sent using automated technology. Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for help. Consent to texts is not a condition of any purchase. You can unsubscribe from emails at any time using the link in each email.

Using the Services properly

You agree not to:

  • break the law or anyone else's rights;
  • give false information or pretend to be someone else;
  • interfere with, scrape, overload or try to get unauthorized access to the Services;
  • use the Services to send spam or harmful content;
  • try to game the waitlist, referral program or Drops.

We may suspend or remove your access if you break these Terms.

Our content

The MASii name, the M mark, MAS, Moves, Drops, our designs, text, graphics and other content are owned by or licensed to MASii and protected by intellectual property laws. You may view and share our pages for personal, non-commercial purposes, but you may not copy, modify or use our brand or content for anything else without our written permission. Third-party names and trademarks mentioned on our site, including event names used to describe example prizes, belong to their owners and do not imply any endorsement of MASii.

Disclaimers

The Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted, error-free or secure.

Limitation of liability

To the fullest extent the law allows, MASii and its directors, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to one hundred US dollars (US$100). Some states do not allow these limits, so they may not apply to you.

Indemnity

You agree to defend and indemnify MASii against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Services.

Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute relating to these Terms or the Services will be brought only in the state or federal courts located in the State of New York, and you and MASii agree to the jurisdiction of those courts. Nothing in this section stops either of us from bringing a claim in small claims court where it qualifies.

Changes to these terms

We may update these Terms from time to time. We will change the "last updated" date above and, for significant changes, tell you by email or on the site. If you keep using the Services after changes take effect, you accept the updated Terms.

General

If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not transfer your rights under these Terms; we may transfer ours as part of a merger, acquisition or sale of assets. These Terms, the Privacy Policy and any Official Rules are the whole agreement between you and MASii about the Services.
